Terms of Service

These terms govern your organisation's use of AI Studio and the AI platform services that 12Nexus, 5615 Raleigh St, Mississauga, ON L5M 7E4, Canada ("12Nexus", "we") provides through it. By using the services or an API key we issue, your organisation (the "Customer") agrees to them.

1. The services

We provide access to AI models and infrastructure built on Google Cloud: the Gemini API (language, text-to-speech and speech-to-text models), AI virtual machines with NVIDIA L4 GPUs, networking and related services. AI Studio lets you view your API keys, usage, rate limits, invoices and payments. Google, Gemini and Google Cloud are trademarks of Google LLC; AI Studio is a 12Nexus service, not a Google product.

2. Accounts and API keys

We issue API keys and portal accounts to people the Customer names. The Customer is responsible for all use of its keys and accounts, including by its staff, contractors and systems, and must keep keys confidential. Tell us at once if a key may be exposed and we will revoke and replace it. Usage on a key before it is revoked is billable.

3. Usage limits

Use is subject to the rate limits of the project's Google Cloud tier and to the Acceptable Use Policy. We may suspend a key that is being misused or that puts the service at risk, and will tell you why.

4. Fees and payment

The services are post-paid. The Customer pays a licensing fee equal to the cost of the usage it incurs, invoiced after the usage, in US dollars, as set out in the Billing and Payments Policy. A total may be invoiced in several partial payments.

5. Customer data

The Customer keeps all rights in the prompts, files and outputs it sends or receives through the services. We process them only to provide the services, as described in the Privacy Policy. Model providers process requests under their own terms; Google's Gemini API terms apply to requests made with the keys.

6. AI output

AI models can produce inaccurate or incomplete output. The Customer is responsible for reviewing output before relying on it, especially for official, legal, financial or public-facing decisions.

7. Warranties and liability

The services are provided as available. To the extent the law allows, our total liability for any claim is limited to the fees paid for the services in the three months before the claim, and neither party is liable for indirect or consequential losses.

8. Term and ending

These terms apply while the Customer has an active key or account. Either party may end the services with 30 days' written notice. Fees for usage up to the end date remain payable.

9. Governing law

These terms are governed by the laws of Pakistan, and the courts at Islamabad have jurisdiction.
